By accessing and using the VisionSpecialist AG website (visionspecialist.pro) or engaging our enterprise workflow automation services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use our website or services. VisionSpecialist AG reserves the right to modify these terms at any time, and your continued use of our services constitutes acceptance of any changes.

VisionSpecialist AG provides enterprise workflow automation consulting, implementation, and support services. Our services include but are not limited to process assessment and analysis, custom automation development, system implementation and deployment, training and change management, and ongoing support and maintenance. Specific service details, deliverables, timelines, and pricing are outlined in separate service agreements or statements of work.
Users of our website and services must comply with all applicable laws and regulations. You agree not to use our services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our systems or interfere with other users' enjoyment of our services.
You are responsible for maintaining the confidentiality of any account information and passwords, and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account or any other breach of security. VisionSpecialist AG will not be liable for any loss or damage arising from your failure to comply with these obligations.
All content on the VisionSpecialist AG website, including text, graphics, logos, images, software, and other materials, is the property of VisionSpecialist AG or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without our express written permission.
Any custom automation solutions, methodologies, or intellectual property developed by VisionSpecialist AG in the course of providing services remain our property unless otherwise agreed in writing. Clients retain ownership of their data and pre-existing intellectual property. The terms of intellectual property ownership for specific projects will be detailed in individual service agreements.
Payment terms for services are specified in individual service agreements or invoices. Unless otherwise agreed, invoices are payable within 30 days of the invoice date. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. VisionSpecialist AG reserves the right to suspend services for accounts with overdue payments.
VisionSpecialist AG acknowledges that in the course of providing services, we may have access to confidential information belonging to our clients. We agree to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives the termination of any service agreement. Mutual non-disclosure agreements may be executed for specific projects as required.
To the maximum extent permitted by law, VisionSpecialist AG's total liability for any claims arising out of or relating to our services or these terms shall not exceed the total amount paid by the client for the specific services giving rise to the claim in the twelve months preceding the claim.
VisionSpecialist AG shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the theory of liability and whether or not we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
VisionSpecialist AG provides services using reasonable skill and care in accordance with industry standards. However, we make no warranties or representations about the accuracy, completeness, or suitability of our services for any particular purpose. Our website and services are provided "as is" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
These Terms of Service are governed by and construed in accordance with the laws of Germany. Any disputes arising out of or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Stuttgart, Germany. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Either party may terminate a service agreement with reasonable notice as specified in the individual agreement. VisionSpecialist AG reserves the right to terminate access to our website or services immediately if you breach these terms or engage in conduct that we determine to be harmful to our business or other users. Upon termination, all rights and obligations shall cease except for those that by their nature should survive termination, including payment obligations, confidentiality, and intellectual property rights.
VisionSpecialist AG shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures. In such cases, we will make reasonable efforts to notify affected clients and resume performance as soon as practicable.
